1. Acceptance of Terms

By accessing or using the Own Your Compliance platform and services (the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you may not access the Services.

2. Service Description

Own Your Compliance provides AI-assisted compliance policy management services, including policy drafting, review workflows, documentation hosting, and regulatory change monitoring. Our Services help organizations create, maintain, and manage compliance documentation for frameworks such as HIPAA, SOC 2, and ISO 27001.

The Services are not a substitute for legal advice, and we recommend consulting with qualified legal and compliance professionals for matters requiring legal interpretation or regulatory guidance.

3. User Obligations

By using the Services, you agree to:

• Provide accurate and current information during registration and engagement.
• Maintain the confidentiality of your login credentials and repository access.
• Use the Services lawfully, ethically, and in accordance with applicable regulations.
• Review and approve all policies before they are published or implemented.
• Avoid disrupting the platform or attempting to gain unauthorized access.
• Assume responsibility for your organization's compliance decisions and policy implementations.

4. Intellectual Property Rights

Your Policies: You own the compliance policies created for your organization. You may export, modify, and use your policies as you see fit. There are no lock-in fees or data extraction charges.

Our Platform: All platform content, including software, templates, methodologies, user interface designs, and other materials, are the exclusive property of Ask the Human LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our platform without express written permission.

5. AI-Generated Content

Our Services use artificial intelligence to assist in drafting compliance policies. You acknowledge that:

• AI-generated drafts require human review before implementation.
• All AI-generated content is reviewed by human compliance professionals before delivery.
• You are responsible for final approval of all policies.
• AI assistance does not replace professional judgment or legal counsel.

6. Termination

Either party may terminate the service relationship with 30 days written notice. We reserve the right to suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms or engage in conduct that we believe is harmful to the platform, other users, or our business. Upon termination, you retain full ownership and access to your policy repository.

7. Hosting and Security

Your policies are stored in GitHub repositories, which means you inherit Microsoft's enterprise security infrastructure including encryption at rest and in transit, SOC 2 Type II certification, and robust access controls. Our documentation sites are hosted on Cloudflare with enterprise-grade security.

However, no method of data transmission or storage over the internet is entirely secure. While we and our technology partners take appropriate measures to safeguard your data, you acknowledge and accept that no system can guarantee absolute security. By using the Services, you voluntarily assume these risks.

8. Limitation of Liability

To the fullest extent permitted by law:

• Ask the Human LLC disclaims all liability for indirect, incidental, special, consequential, or punitive damages.
• We are not liable for any loss of profits, data, goodwill, or other intangible losses resulting from your use of the Services.
• We are not liable for regulatory fines, audit failures, or compliance violations resulting from your implementation decisions.
• Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
• You expressly agree to hold Ask the Human LLC and its affiliates harmless from any claims, damages, liabilities, or costs related to your use of the Services.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with a new effective date. Your continued use of the Services after changes are posted constitutes your acceptance of the new Terms. We will make reasonable efforts to notify active clients of material changes.

10. Nature of Services

Own Your Compliance provides compliance documentation and policy management services. We are not a law firm and do not provide legal advice.

By using our Services, you acknowledge that:

• You are responsible for ensuring policies meet your organization's specific regulatory requirements.
• You should consult with qualified legal counsel for legal interpretations.
• Compliance frameworks may have requirements beyond policy documentation.
• You waive any claims against Ask the Human LLC for regulatory outcomes resulting from your implementation decisions.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts of Tennessee.
